1. Services Overview
1.1 Service Description
Paragon Marketing provides comprehensive growth and marketing services for info product businesses, including but not limited to:
- Marketing strategy and consultation
- Sales funnel design and optimization
- Content creation and copywriting
- Email marketing and automation
- Paid advertising management
- Tech stack implementation and CRM setup
- Analytics and reporting
1.2 Service Engagement
Specific services, deliverables, timelines, and fees will be outlined in a separate Service Agreement or Statement of Work for each client engagement.
2. Client Responsibilities
As a client of Paragon Marketing, you agree to:
- Provide Accurate Information: Supply truthful, accurate, and complete information about your business, products, and services
- Timely Communication: Respond to requests for information, approvals, and feedback within reasonable timeframes
- Legal Compliance: Ensure your business, products, and services comply with all applicable laws and regulations
- Content Rights: Guarantee that you have the rights to all content, materials, and intellectual property you provide to us
- Payment Obligations: Make payments according to the agreed schedule and terms
3. Payment Terms
3.1 Fees and Billing
- All fees are quoted in USD unless otherwise specified
- Payment terms are Net 30 unless otherwise agreed in writing
- Monthly retainer fees are billed in advance
- Project-based fees follow the payment schedule outlined in the Service Agreement
3.2 Late Payments
Late payments may incur a fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance. We reserve the right to suspend services for accounts more than 30 days past due.
3.3 Refund Policy
Due to the custom nature of our services, refunds are evaluated on a case-by-case basis. Setup fees and completed work are generally non-refundable. Any refund requests must be submitted in writing within 30 days of the disputed charge.
4. Intellectual Property
4.1 Client Materials
You retain all rights to your pre-existing intellectual property, trademarks, and proprietary information. You grant Paragon Marketing a limited license to use these materials solely for the purpose of providing services to you.
4.2 Work Product
Unless otherwise agreed in writing:
- Custom content, designs, and materials created specifically for you become your property upon full payment
- We retain the right to use generic methodologies, frameworks, and know-how developed during our engagement
- We may showcase your project in our portfolio with your permission
4.3 Third-Party Materials
Any third-party materials (stock photos, fonts, plugins, etc.) remain the property of their respective owners and are subject to their licensing terms.
5. Confidentiality
Both parties agree to:
- Maintain the confidentiality of any proprietary or confidential information disclosed during the engagement
- Use confidential information solely for the purpose of the business relationship
- Not disclose confidential information to third parties without written consent
This obligation survives the termination of our service agreement for a period of three (3) years.
6. Performance Disclaimer

No Guarantee of Results: While we employ industry best practices and proven strategies, we cannot guarantee specific results, including but not limited to:
- Revenue increases or specific ROI
- Traffic or conversion metrics
- Search engine rankings
- Social media engagement rates
- Customer acquisition numbers
Marketing success depends on numerous factors beyond our control, including market conditions, competition, product quality, and business operations.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the six (6) months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We are not responsible for lost profits, revenues, or business opportunities
8. Indemnification
You agree to indemnify, defend, and hold harmless Paragon Marketing, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or third-party rights
- Your products, services, or business operations
- Content or materials you provide to us
- Any misrepresentation of your business or offerings
9. Term and Termination
9.1 Term
These Terms commence upon your first use of our services and continue until terminated by either party.
9.2 Termination
- Monthly Retainers: Either party may terminate with 30 days written notice
- Project Engagements: Termination terms as specified in the Service Agreement
- For Cause: Either party may terminate immediately upon material breach that remains uncured after 10 days written notice
9.3 Effect of Termination
Upon termination:
- All outstanding fees become immediately due and payable
- We will provide any completed work and return client materials
- Access to our platforms and tools will be revoked
- Confidentiality obligations remain in effect
10. Acceptable Use Policy
You agree not to use our services for any unlawful purpose or in any way that:
- Violates any applicable laws or regulations
- Infringes on intellectual property rights
- Contains false, misleading, or deceptive claims
- Promotes illegal activities or harmful products
- Involves spam, pyramid schemes, or multi-level marketing without proper disclosure
- Damages our reputation or business relationships
11. Dispute Resolution
11.1 Informal Resolution
We encourage you to contact us directly to resolve any disputes informally before pursuing formal proceedings.
11.2 Arbitration
Any dispute not resolved informally within 30 days shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Skopje, North Macedonia, and judgment may be entered in any court of competent jurisdiction.
11.3 Exceptions
Either party may seek injunctive relief in court for violations of intellectual property rights or confidentiality obligations.
12. General Provisions
12.1 Entire Agreement
These Terms, together with any Service Agreement, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
12.2 Amendments
We reserve the right to modify these Terms at any time. Material changes will be notified via email or through our website. Continued use of our services after changes constitutes acceptance.
12.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
12.5 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
12.6 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
12.7 Governing Law
These Terms shall be governed by the laws of North Macedonia, without regard to its conflict of law provisions.
12.8 Notices
All notices must be in writing and sent to the email or physical address provided. Email notices are deemed received upon sending, unless an error message is received.
13. Specific Service Terms
13.1 Advertising Services
For paid advertising management:
- Ad spend is billed separately and directly to your accounts
- We require admin access to advertising accounts
- Minimum ad spend requirements may apply
- Performance is subject to platform policies and algorithms
13.2 Content Creation
- Two rounds of revisions are included unless otherwise specified
- Additional revisions are billed at our hourly rate
- Content must be reviewed and approved within 5 business days
13.3 Technical Services
- We are not responsible for third-party platform changes or downtime
- Backup of existing systems is client's responsibility
- Testing is conducted in development environments when possible
